Terms of Service

1. Acceptance of Terms

By accessing, browsing, registering for, or using the EliteSmartLaundry web application, mobile applications, API, or any associated services (collectively, the “Service”), you (“Customer”, “User”, “Merchant”, or “You”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are entering into these Terms on behalf of an enterprise, company, or other legal entity, you represent that you have the requisite authority to bind that entity. If you do not agree to these Terms, you must not use or access the Service.

2. Description of Service & Role Disclaimer

EliteSmartLaundry provides digital tools for laundry businesses, including order ticketing, inventory/price list cataloging, digital receipts, staff assignment, revenue reports, customer messaging tools, and subscription management.

3. Account Eligibility & Security

You must provide accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your credentials (including passwords and API tokens) and for all activity conducted through your accounts. You agree to notify EliteSmartLaundry immediately of any unauthorized breach of security or compromise of your credentials.

4. Subscription Billing, Fees & Taxes

Certain tiers and features of the Service require a recurring paid subscription (“Subscription Plan”).

• Payment Processing: Online payments and recurring subscriptions are processed securely via accredited third-party payment gateways, including Paystack. By providing billing details, you authorize EliteSmartBiz Technologies and its processors to charge all applicable fees to your designated payment method.
• Billing Cycles & Renewal: Subscriptions renew automatically at the end of each billing cycle (monthly, quarterly, or annually) unless canceled prior to the renewal date via the dashboard settings or billing portal.
• Refund Policy: All subscription fees, plan switches, and add-on purchases are non-refundable once processed, except where required by mandatory consumer protection law or at our sole discretion. We do not provide prorated refunds or credits for partial billing periods or unused features upon early cancellation.
• Price Changes: We reserve the right to revise subscription fees upon at least 30 days’ advance written notice. Continued use of the Service following the effective date of a price change constitutes acceptance.
• Taxes: Fees are exclusive of all applicable national, state, or municipal taxes, VAT, or levies, which remain your sole responsibility.

5. Communications, SMS & Customer Privacy

Merchants utilizing our SMS notification and customer portal features warrant that:

• You have obtained all legally required consents, permissions, and authorizations under applicable telecommunications and data protection legislation (including the Ghana Data Protection Act, 2012 / Act 843, and equivalent laws) before transmitting SMS notifications or order status updates to any individual customer phone number.
• You shall not use our messaging infrastructure for unsolicited spam, marketing, harassment, unlawful advertising, or fraudulent schemes.
• You indemnify and hold harmless EliteSmartBiz Technologies from any regulatory complaints, fines, telecommunication carrier blocks, or statutory penalties arising from your transmission of messages to your patrons.

6. Acceptable Use Policy

You agree not to, directly or indirectly:

• Reverse engineer, decompile, disassemble, or derive source code from the Service;
• Circumvent or tamper with subscription tier limits, multi-tenant isolation boundaries, role-based access controls, or billing authorization mechanisms;
• Upload malicious code, viruses, or automated scrapers designed to harvest public store directories or extract competitor data;
• Use the Service for money laundering, fraudulent receipt generation, tax evasion, or illicit financial activities;
• Impersonate any person, trademark, or business without authorization.

7. Intellectual Property & Customer Data

Platform IP: EliteSmartLaundry, its design, logos, software codebase, database schemas, interfaces, and documentation remain the exclusive intellectual property of EliteSmartBiz Technologies.

Your Data: You retain ownership of all trade data, customer profiles, order history, and store assets uploaded to your shop instance (“Customer Data”). You grant us a limited, non-exclusive license to host, store, back up, and process Customer Data solely as necessary to provide, secure, and maintain the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, ELITESMARTBIZ TECHNOLOGIES SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR COMPATIBLE WITH ANY SPECIFIC THERMAL PRINTER HARDWARE, NETWORK CONFIGURATION, OR THIRD-PARTY SMS GATEWAY.

9. Limitation of Liability

Comprehensive Liability Cap

UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) SHALL ELITESMARTBIZ TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, LOSS OF CUSTOMERS, OR COST OF SUBSTITUTE GOODS ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO ELITESMARTLAUNDRY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE OCCURRENCE OF THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED GHANA CEDIS (GHS 100), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless EliteSmartBiz Technologies, its officers, directors, contractors, agents, and employees against any third-party claims, liabilities, lawsuits, judgments, regulatory fines, costs, and expenses (including reasonable attorneys’ fees) resulting from or related to: (a) your violation of these Terms; (b) your violation of any third-party right or applicable law; (c) any dispute or transaction between you and your laundry patrons; or (d) unauthorized alterations or access to your account caused by your failure to protect your login credentials.

11. Termination & Suspension

We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, in our sole discretion, if you breach these Terms, engage in fraudulent transactions, fail to satisfy overdue subscription invoices, or engage in activity harmful to our infrastructure or reputation. You may cancel your account at any time via the billing portal.

12. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to conflict of law principles. Any legal action, suit, or proceeding arising under or in connection with these Terms shall be instituted exclusively in the competent courts located in Accra, Ghana.

13. Modifications to Terms

We may update these Terms periodically to reflect changes in our services, statutory requirements, or commercial practices. When material updates are made, we will notify registered users via email or by a conspicuous notice within the Service. Your continued use of the Service following such updates signifies your acceptance.
